Lawsuit Targets Pearl’s Stable Hall and Soap Creek for Contract Violation
A recent lawsuit has been initiated by Wood Hall, a Dallas-based music and entertainment firm, against the Pearl’s music venue, Stable Hall, and its subcontractor, Soap Creek Entertainment. Wood Hall is claiming damages of $1 million, alleging a breach of contract following an unexpected termination of their services.
Background of the Dispute
The lawsuit contends that Wood Hall played a pivotal role in establishing Stable Hall’s operations since 2023. However, it asserts that Stable Hall “unilaterally and unexpectedly terminated” Wood Hall’s operational management on October 28, 2024, without providing any prior notice or remedy opportunities as required by their agreement.
Allegations Against the Developer
Christopher “Kit” Goldsbury, the chairman of Pearl’s parent company Silver Ventures, is alleged to have orchestrated this termination to facilitate the appointment of Jayson Adams, a friend’s son, as the new operator and booker for the venue. Wood Hall claims to have been exploited by Potluck Hospitality, a subsidiary of Silver Ventures, which utilized Wood Hall’s expertise while simultaneously depriving them of future management and ownership responsibilities at Stable Hall.
Ongoing Operations After Termination
Soap Creek, accused of continuing to secure talent for Stable Hall post-termination, allegedly breached their contractual obligations with Wood Hall by organizing performances even after Wood Hall was dismissed. The lawsuit highlights that Stable Hall continued to promote forthcoming shows via social media and email campaigns, heralding acts that were only preliminary offers at the time of Wood Hall’s termination.
Response from Potluck Hospitality
In a response to the allegations, Ryan Howard, managing director of Potluck Hospitality, mentioned that the organization has undergone strategic management adjustments to align with their growth vision and enhance music experiences in San Antonio. He reaffirmed Stable Hall’s commitment to delivering live music entertainment to the community, promising updates on future events soon.
A Historical Venue
Stable Hall, steeped in history, is located within the Pearl Brewery complex and was originally built in 1894 as part of the brewery’s infrastructure. After operating in various capacities, it transitioned into an event venue in 2006. Following a two-year closure for reimagining, Stable Hall reopened as a music venue in January 2024.
Wood Hall’s Role in Venue Development
In 2019, Brandt Wood and his colleague Erick Schlather approached Pearl representatives with a proposal for a music festival. This led to discussions around multiple project developments, culminating in Wood Hall’s selection to operate and manage Stable Hall. Wood Hall’s involvement was formalized in December 2023 through a management agreement, which permitted them to run the venue for a fee corresponding to net sales, an agreement allegedly violated with the termination notice given just 10 months post-opening.
Conclusion
The outcome of this legal dispute remains undetermined, but it underscores the complexities involved in contracts within the entertainment industry. Wood Hall maintains that the abrupt termination violated agreed-upon terms, and the case illustrates the potential struggles faced by businesses in maintaining partnerships and managing operational transitions.
